Organisational structure and corporate structure
Since 2021, Padana Tubi has been controlled by a sole shareholder and is subject to management and coordination by Padana Holding S.r.l..
The company’s corporate governance system follows a traditional model, in which the corporate bodies are represented by:
- Shareholders’ Meeting
- Board of Directors
- Board of Statutory Auditors
The development of ethical culture within the organisation requires a constant commitment, which takes the form of employee training, the adoption of internal control systems and the implementation of dedicated policies and initiatives. The aim is to prevent and combat improper or unlawful conduct, ensuring that internal and external relations are consistent with the principles of fairness and legality.
Padana Tubi adopted a Code of Ethics and an Organisational and Control Model pursuant to Legislative Decree 231/2001 in 2015. The Model and the Code of Ethics were subsequently updated and approved by the Board of Directors in 2018, 2020, 2022 and 2024, following the introduction of new predicate offences.
